01These terms

These terms are an agreement between you and Scott Bebington, trading as ManageMint Solutions, 10 Eaton Avenue, Bryanston, Sandton, 2191, Gauteng, South Africa ("ManageMint Solutions", "we", "us"). They apply when you create an account, use the ManageMint Solutions portal, or use this website.

If you sign up on behalf of an organization, you confirm that you are authorized to accept these terms for it, and "you" means that organization. Our Privacy Policy explains how we handle personal information and forms part of these terms.

02The service

ManageMint Solutions is web-based software for managing clients, projects, tasks and teams, sold as modules that each organization turns on. We improve the service continually, so features may change. We will not remove a feature you are paying for without telling you first.

03Accounts and users

• The information you give us when you sign up must be accurate and kept up to date.
• Each person who signs in needs their own user, and each user is a paid seat. Sign-in details may not be shared.
• You decide who joins your organization and what each person may see and change. You are responsible for what your users do in the portal.
• Keep passwords secure and tell us at admin@managemintsolutions.com straight away if you think an account has been misused.
• The service is for business use by people aged 18 or over.

04Seats, billing and payment

• Each module is priced per seat per month, in South African rand, as shown on our pricing page. A seat is anyone who can sign in.
• Billing periods renew on the 25th of each month. When you sign up you pay a pro-rata amount for the rest of the current period, shown before you pay.
• Adding a user charges a pro-rata amount for the rest of the current period straight away. Removing a user lowers your bill from the next renewal; the current period is not refunded.
• You pay by card through Paystack, which charges your card automatically each period. You authorize these charges by accepting these terms. Every payment is listed under Billing in the portal, and each monthly renewal comes with an invoice.
• ManageMint Solutions is not registered for VAT, so no VAT is added to our prices.

If a renewal payment fails, we will tell you, and we try the charge again once the card is updated. Until it is paid, your organization is limited to billing and organization details.

We may change our prices. We will give account owners at least 30 days' notice by email, and the new price applies from the first renewal after that notice.

05Cancellation

You can cancel at any time under Billing in the portal. Your access continues until the end of the period you have paid for and you will not be charged again. After that your team can no longer open its records, but the data is kept, and reinstating the subscription from Billing restores full access.

Payments already made are not refunded for unused time, except where the law requires a refund. To have your organization's data deleted, follow the steps in our Privacy Policy.

06Your data

The records, files and other content your organization puts into the portal belong to your organization. You give us permission to store, process and display that content only as needed to provide the service to you.

For personal information in your workspace, such as client contacts or staff records, your organization is the responsible party under the Protection of Personal Information Act, 2013 (POPIA) and we act as its operator. You are responsible for having a lawful reason to collect and store that information, and for telling the people it concerns where the law requires it.

07Acceptable use

You must not:

• Use the service for anything unlawful, or to store content you have no right to store.
• Upload malware, or anything designed to harm the service or other users.
• Try to access another organization's data, or get around permissions, rate limits or seat counts.
• Probe, scan or load-test the service, or copy it by automated means, without our written permission.
• Resell or sublicense the service.

08Availability and support

We work to keep the service available and secure, but we do not guarantee that it will be uninterrupted or free of errors, and we may need to pause it briefly for maintenance. Support is provided by email at admin@managemintsolutions.com.

09Intellectual property

We own the ManageMint Solutions software, name and brand. These terms give you the right to use the service while your subscription is active, and nothing more. If you send us suggestions, we may use them to improve the service without any obligation to you.

10Suspension and termination

We may suspend or close an account that breaks these terms, does not pay, or puts the service or other customers at risk. Where it is reasonable, we will warn you first and give you time to put things right.

11Liability

To the extent the law allows, the service is provided "as is" and we are not liable for indirect or consequential loss, such as lost profits, lost revenue or lost data. Our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim arose.

Nothing in these terms limits any right you have under the Consumer Protection Act, 2008 or the Electronic Communications and Transactions Act, 2002 that cannot lawfully be excluded.

12Changes to these terms

When we change these terms we update the date at the top of this page. If a change is significant, we will email account owners at least 30 days before it takes effect. Using the service after that date means you accept the new terms.

13Governing law

These terms are governed by the law of the Republic of South Africa, and the courts of South Africa have jurisdiction over any dispute about them.
